Terms of Service

Introduction

Welcome to Delfa. These Terms of Service ("Terms") govern your access to and use of Delfa's website at https://www.delfa.ai/ and any affiliated websites (collectively the "Websites"), as well as any related services provided by Delfa (together with the Websites, the "Services"). Please read these Terms carefully before using our Services.

Agreement to Terms

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services. These Terms apply to all visitors, users, and others who access or use the Services.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Use of Services

Our Services are intended for use by clinical research organizations, sponsors, clinical research sites, and other authorized individuals. You agree to use our Services only for lawful purposes and in accordance with these Terms.

Calls and Text Messages

Delfa provides communications technology that research organisations use for clinical trial enquiries, recruitment, prescreening, scheduling, appointment reminders and related follow-up. Communications may be delivered by staff, automated systems or AI agents. The organisation contacting you must be identified in the relevant consent request and communications.

Where you choose to receive text messages, messages may recur and frequency varies according to the programme and your interactions. Message and data rates may apply. Consent to receive messages is voluntary, is not a condition of purchase, and does not enrol you in a clinical trial. Accepting these Terms or providing a telephone number does not, by itself, constitute consent to receive calls or messages.

To stop text messages, reply STOP to the sending number. You may receive one confirmation of your opt-out. Further messages covered by that opt-out will stop unless you subsequently provide fresh consent. To subscribe again, use the original sign-up process or contact the organisation sending the messages.

For help, reply HELP, contact the organisation identified in the message, or email admin@delfa.ai for assistance with Delfa’s service. You may also communicate a withdrawal request directly to the relevant organisation. We and our customers must honour applicable withdrawal requests.

Carriers are not liable for delayed or undelivered messages. Information about how we handle personal information is available in our Privacy Policy.

Customer Responsibilities for Communications

Customers must ensure that their use of Delfa complies with applicable communications, privacy and recording laws, carrier requirements and relevant communications-provider policies. Customers using Twilio-powered messaging must obtain and retain evidence of prior express written consent for customer-initiated messaging, identifying the sender and the agreed message subjects. Purchased contact information or another organisation’s consent does not establish permission to contact a recipient.

Customers must provide accurate sender and caller identification, honour opt-outs, maintain suppression records, complete applicable do-not-call checks, and observe local restrictions on contact times and frequency. Customers must provide required notices and obtain any necessary consent for automated or AI-generated calls, recording and transcription. They must not misrepresent AI agents as human callers or bypass consent, suppression or carrier safeguards.

Delfa may request consent evidence and restrict or suspend communications to address unlawful activity or provider requirements. These customer responsibilities do not exclude Delfa’s own obligations under applicable law.

Clinical Use

Delfa supports recruitment and administrative communications. It does not provide medical advice or emergency services. Prescreening does not establish final study eligibility, which must be assessed by the research team.

User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Delfa makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Limitation of Liability

In no event shall Delfa, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

You agree to defend, indemnify and hold harmless Delfa and its licensees, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
